BY USING THE PLATFORM, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.
IF YOU ARE UNDER THE LEGAL AGE OF MAJORITY (A "MINOR") IN YOUR JURISDICTION OR STATE OF RESIDENCE, BEFORE USING THE PLATFORM, YOUR PARENT OR LEGAL GUARDIAN MUST READ AND AGREE TO THE TERMS OF USE. BY PERMITTING A MINOR TO USE THE PLATFORM, THE PARENT OR LEGAL GUARDIAN BECOMES SUBJECT TO THE TERMS OF USE AND IS RESPONSIBLE FOR ALL ACTIONS BY THE MINOR RELATING TO THE USE OF THE PLATFORM, INCLUDING, BUT NOT LIMITED TO, THE PURCHASE OF VIRTUAL CURRENCY AND CONSUMPTION OF PLATFORM CONTENT.
Cozzi reserves the right, at its sole discretion, to modify, change, add, or remove any portion of these Terms of Use, at any time. You are responsible to periodically check the Terms of Use for changes. Your continued use of the Platform following the publication of changes will mean that you accept and agree to the changes. By complying with the Terms of Use, Cozzi grants you a personal, non-exclusive, non-transferrable, and regulated privilege to use the Platform.
By agreeing to the Terms of Use, you also agree to the following:
INDIVIDUALS PRESENT IN THE PEOPLE'S REPUBLIC OF CHINA AND VIETNAM ARE CURRENTLY PROHIBITED FROM USING THE PLATFORM.
You may "page-scrape", "robot", "spider", or make use of other automatic means of acquiring non-Content information from the platform, however, Cozzi reserves the right to block access to the Platform to preserve its integrity. Programmatic access to application programmatic interfaces ("API") is permitted only by the limited use of API Tokens issued by Cozzi. At this time, API Tokens are not being issued.
You may not attempt to gain unauthorized access to features or portions of the Platform and Content. You may not probe, scan or test vulnerabilities of the Platform by hacking, employing quantum computing, or any other illegitimate means. You agree to not take any action that imposes a disproportionally large load on Cozzi infrastructure or connected networks. You agree not to use any device or software to attempt to interfere with the operation of the Platform.
You may not track, trace, reverse lookup, stalk, or dox any information on any other User. You may not use the Platform for any illegal or illicit purposes or that which goes against the Terms of Use. You may not solicit the performance of illegal activities or any activity that infringes on the rights of Cozzi or others.
Cozzi may make changes to any product, service, offered on the Platform, without notice. Cozzi may make changes to the Platform, without notice. Changes include, but not limited to, the pricing of products and services.
All text, graphics, computer code, user interfaces, iconography, photography, logos, sounds, music, and artwork produced by either Cozzi or Users (collectively, "Content") is protected by applicable trademark, trade dress, copyright, and patent laws. Except as expressly permitted in the Terms of Use, no part of the Platform or the Content may be copied, reproduced, republished, uploaded, transformed, posted, translated, transmitted without the express written consent of Cozzi. Users agree to have their UGC recorded and broadcasted by Cozzi and other Users, except as noted in the Terms of Use. Users may, and are encouraged to, record and broadcast audio and video of their interactions with the Platform and Content, excluding Content where such recordings and broadcasts embody the entirety or significant portion of the piece of Content (e.g. music, sounds, movies, and film series) or infringe on the copyright of the Content.
Some Content may require Users to agree to additional terms before use. If there is conflict between the additional terms and this Terms of Use, the additional terms govern the use of that Content. You agree to observe such terms and conditions and that you are of legal age to use or participate.
By using the Platform, you agree to have Credentials, and a corresponding account, automatically generated for you. Credentials are composed of an asymmetric encryption keypair. Credentials are stored on your device and are neither available to nor recoverable by Cozzi.
A LOSS OF CREDENTIALS WILL RESULT IN A PERMANENT LOSS OF ACCESS TO YOUR ACCOUNT, PURCHASED CONTENT, AND ACCESS TO THE PLATFORM UNDER THAT ACCOUNT. YOU ARE ENTIRELY RESPONSBILE TO BACKUP YOUR CREDENTIALS.
You are entirely responsible for maintaining the confidentiality of your Credentials and access to your account. You are entirely responsible for all activity that arises from your failure to safeguard your Credentials or account from disclosure. You agree to notify Cozzi immediately of any unauthorized use of your Credentials or account. You may be held liable for losses occurred by Cozzi as a result of your failure to safeguard your Credentials or account from disclosure.
COZZI DOES NOT PROMISE THAT THE PLATFORM OR CONTENT WILL BE FREE FROM ERRORS, INTERRUPTIONS, OR DEFECTS. COZZI DOES NOT PROMISE TO REMEDY DEFECTS IN THE PLATFORM OR CONTENT. THE PLATFORM AND CONTENT IS DELIVERED ON A 'AS-IS' AND 'AS-AVAILABLE' BASIS. COZZI MAKES NO REPRESENTATIONS, ASSURANCES, OR WARRANTIES THAT ANY TRANSMISSION, FILE, PROGRAM, OR OTHER DATA YOU RETRIEVE FROM THE PLATFORM WILL BE FREE OF VIRUSES, DESTRUCTIVE FEATURES, OR CONTAMINATION. COZZI DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING ALL WARRANTIES OF MERCHANTABILITY, ACCURACY, AVAILABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. COZZI DISCLAIMS ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS, AND CONDUCT OF ANY THIRD PARTIES IN CONNECTION TO YOUR USE OF THE PLATFORM AND/OR ANY COZZI SERVICES. YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE PLATFORM AND ANY LINKED SITES. YOUR SOLE REMEDY AGAINST COZZI FOR DISSATISFACTION WITH THE PLATFORM OR ANY CONTENT IS TO STOP USING THE PLATFORM OR ANY SUCH CONTENT. THIS LIMITATION OF RELIEF IS A PART OF THE BARGAIN BETWEEN THE PARTIES.
The above disclaimer applies to any and all damages, liability, or injuries caused by any failure of performance, error, omission, disruption, deletion, defect, degradation or delay in operation, theft, virus, destructive feature, contamination, or destruction of or unauthorized access to, use, whether for breach of contract, tort, negligence, or any other cause of action. Except where prohibited by law, in no event shall Cozzi be held liable to you for any indirect, consequential, exemplary incidental or punitive damages, including loss of profits. If, notwithstanding the other provisions of this Terms of Use, Cozzi is found liable to you for any damage or loss which arises out of or in any way connected to your use of the Platform, Cozzi's liability shall in no event exceed 100 United States Dollars.
You agree to indemnify and hold Cozzi, its owner, successors in interest, agents, subsidiaries, and affiliates harmless from any demands, loss, liability, claims, expenses (including attorney fees), made against Cozzi by any third party due to, arising out of, relating to, or in connection with your use of the Platform.
You agree that Cozzi may, at its sole discretion and without prior notice, suspend or terminate your access to the Platform if we determine that you violated these Terms of Use or other agreements or guidelines between us and you. You agree that any violation of these Terms of Use will represent an unlawful and unfair business practice, which will cause irrepairable harm to Cozzi, for which monetary damages would be inadequate, and you consent to Cozzi obtaining an injunction or equitable relief. You agree that Cozzi may terminate your access to the Platform, for cause, which includes but not limited to:
You agree that Cozzi will not be liable to you or to any third party for termination of your access to the Platform or its associated sites as a result of any violation of these Terms of Use. If Cozzi takes legal action against you, as a result of violating these Terms of Use, Cozzi will be entitled to recover from you all relevant attorneys' fees and costs of said action, in addition to any and all other relief granted to Cozzi. You agree to pay aforementioned fees and costs of legal action.
You agree that Cozzi may preserve all communication between you and us through the Platform, and that Cozzi may disclose such communication if required by law or Cozzi determines the disclosure is reasonably necessary to comply with the law, enforce these Terms of Use, or protect the rights, property, or personal safety of Cozzi, its owner, Platform Users, and the public.
Cozzi may disclose any information we have about you, including but not limited to your identity, if we determine that the disclosure is necessary as part of an investigation or complaint regarding your use of the Platform, necessary to comply with applicable laws, regulation, legal proceeding, or governmental request, or necessary to bring legal action against someone who is causing injury to Cozzi's or another's rights or property.
You agree that all matters and disputes relating to your access and use of the Platform will be governed by the laws of the United States of America and by the laws of the State of Arizona without regard to conflict of law provisions. You agree to the personal jurisdiction by and venue in the state and federal courts located in Maricopa County, Arizona, United States of America and waive any objection to such jurisdiction and venue. Individuals present in the European Union are not bound by the preceding provision and may make a claim in the courts of the country in which you reside.
Any claim under these Terms of Use must be brought forth within one (1) year after cause of action, or such claim or cause of action is barred. No recovery may be sought or received for damages other than out-of-pocket expenses, except the prevailing party is entitled to costs and attorneys' fees. In the event of any dispute or controversy between Cozzi and you, arising out of or in connection with your use of the Platform, both parties shall attempt, earnestly and in good faith, to resolve the matter. If such dispute or controversy is not resolved within thirty (30) days, then may either party pursue any right or remedy available to them under applicable law.
Cozzi develops, administers, operates, and propagates the https://cozzi.io and the Platform from its headquarters in Mesa, Arizona, United States of America. Cozzi may operate the Platform from other locations. Although the Platform is available worldwide, excluding the People's Republic of China and Vietnam, not all features, services, and Content may be available to all individuals or in all geographic locations. Cozzi reserves the right to make features, services, and Content unavailable to any and all individuals or geographic locations. Any feature, service, or Content is void where prohibited. If you choose to access the Platform outside of the United States of America, you do so of your own initiative and are entirely responsible for complying with the local laws in your jurisdiction.
You may not export Content, or any facsimile of said Content, in violation of any applicable laws, including but not limited to United States export laws and regulations.
If any provision of these Terms of Use is found to be void or unenforceable, all other provisions in these Terms of Use will still be in force. If Cozzi transfers its rights and obligations under these Terms of Use to another party, these Terms of Use will still be in force. If the URL of the Cozzi website changes, these Terms of Use will still be in force. Cozzi's failure to insist on or enforce strict performance of these Terms of Use shall not be construed as a waiver of Cozzi of any provision or any right it has to enforce these Terms of Use.
